BDO Scotland - Corporate Finance 2018 Snapshot

20 December 2018

As one of the UK’s leading Corporate Finance advisers, BDO’s Corporate Finance team has significant experience of advising on transactions across a wide range of sectors. In Scotland we have successfully developed deeply-rooted local relationships which we continue to invest in. We also leverage our UK and International network of sector experts to provide a market-leading service.

We continued to build the BDO brand in Scotland in 2018, with our deal volume increasing by 23% year-on-year. This has been achieved during a period of significant political uncertainty, with the long term outlook for the UK and Scottish economies unclear.

In order to meet increased demand, we have invested in our offering and have hired three new corporate finance professionals in 2018, bringing our total headcount to twelve. We believe that the outlook for 2019 remains positive and our team is fully focused on helping our clients succeed.

2018 overview

Deal highlights include:

BDO advised the shareholders of Incremental Group on its Secondary Buy Out backed by Dunedin, which will provide management with additional firepower to deliver an ambitious organic and inorganic growth strategy.
BDO supported Aliter Capital on its acquisition of fire, security and data networks specialist Boston Networks and the subsequent bolt-on acquisitions of PEL and of 2020 Vision. We also advised Aliter Capital and Ipsum Group, its utilities and infrastructure services business, on the bolt-on acquisition of SPEC.
BDO provided M&A advice and vendor due diligence services to the shareholders on the sale of Barrhead Travel to Travel Leaders Group. Travel Leaders is the largest travel agency business in the US, with the deal providing the opportunity to expand its presence in the UK.
BDO advised global facilities management provider Atalian Servest on its acquisitions of fire protection and mechanical services specialist Thermotech Solutions and catering services provider Unique.

What our clients say about us:

“I would like to place on record my thanks to BDO for their help and ongoing support in obtaining and bringing to a successful conclusion the sale of Barrhead Travel. BDO ran a high quality and efficient sell side process and their attention to detail, commitment and understanding was exemplary.”

Sharon Munro, CEO, Barrhead Travel

“As our retained CF partner, the BDO team was once again instrumental in the successful outcome of this acquisition. Our second acquisition in the space of 18 months was not a straight forward deal process for many reasons and having the experience, wise counsel and pragmatism of the BDO team alongside us was crucial to getting across the finish line. A great team doing great work – looking forward to working with them on the next deal already.”

Stuart Kerr, CFO, Incremental Group

“BDO has supported Aliter on a number of financial and tax due diligence exercises and has proven to be a very efficient and reliable partner to us. The consistency of the team throughout the journey and the commitment of the partners has allowed them to build a clear understanding of our expectations and the communication between us has been very open and straightforward.”

Billy Allan, Founding Partner, Aliter Capital
