BBGI Global Infrastructure S.A. acquired Poplar Baths Leisure Centre public-private partnership

BBGI Global Infrastructure S.A. (“BBGI”), a FTSE 250-listed global infrastructure investment company, acquired the entire issued share capital and shareholder loans in Folera TH Holdings Limited and its subsidiary Folera Limited, from Guildmore.

Folera Limited holds a social infrastructure public-private partnership (PPP) contract for the design, construction, financing, operation, maintenance and rehabilitation of a number of buildings in the London Borough of Tower Hamlets. Under this contract, Folera Limited has implemented the major regeneration and refurbishment of the derelict Poplar Baths building into a modern first-class community leisure centre and the construction of the Haileybury Community Centre, Randall House (60 affordable residential units), Dame Colet Court (25 affordable residential units) and Baltonsborough Court (15 affordable residential units). Construction was completed in 2016 and the PPP concession, now in its operational phase, runs until 2051.

The acquisition brought the number of BBGI infrastructure investments in the transport, healthcare, education, blue light and other services sectors across Australia, Canada, continental Europe, the UK and the US to 51.

BDO provided tax due diligence, tax structuring and SPA advisory services in support of the transaction.

“Tax is a crucial component of any diligence process, we always rely on BDO providing us with informed trusted commercial advice to mitigate risks and identify opportunities”
